PRODUCT PARTNER AGREEMENT

DEFINITION - The Product Partners shall be referred to as “Partners” for the sake of this Agreement. Products are referred to but not limited to what is contained in Section

2. COVERAGE – Souqify LLC. owns www.souqify.com and has the discretion to display and sell only specific products selected from a Partners product range. Souqify LLCs Platforms include but are not limited to websites and mobile applications, they include our mobile show rooms, physical showrooms, stores and warehouses . Souqify LLC. would operate in different countries and regions as may be modified subsequently. The Product Partner (The “Partner”) will have the privilege to have their products displayed and sold on www.souqify.com as well as through all physical channels of Souqify LLC . Souqify has the right to receive payments on behalf of the Partner, after which it remits to the Partner their accrued earnings.

3. PRODUCTS CATEGORIES - The categories of products to be displayed and sold on the Souqify.com platform are house-finishing items. These include but are not limited to the followings; Bathroom finishing (bathtubs, jacuzzis, hot tubs, sinks, basins, showers, taps, toilets), kitchen finishing’s, lightings, door & door accessories, floor, wall and toppers (tiles, marbles, wood) electrical accessories etc, provided the goods are not contrary to what is stated above and public policy.

4. SOUQIFY LLCs RESPONSIBILITIES – Souqify LLC. shall provide an efficient platform (Souqify.com) for Partners to display and sell their goods. Souqify LLC will present on the platform the products listed by the Partner and will also be responsible for the listing of this products. It shall be the responsibility of Souqify to receive payment for goods ordered on the platform, on behalf of the Partner.
Souqify LLC shall remit all payments to the Partner’s bank account for goods ordered on the website, within a reasonable time as obtainable in the banking/financial industry especially for international transactions. Souqify LLC has the right to terminate the relationship with the Partner if the Partner repeatedly receives negative reviews or complaints from buyers/customers, or fails to comply with the standard recommendations. In order to maintain its reputation for quality and high standard of service, Souqify LLC may terminate the relationship with the Partner if the Partner provides products that are contrary.

5. PARTNER’S RESPONSIBILITIES - The Partner will be responsible for updating Souqify LLC an up-to-date inventory of all their products listed on www.souqify.com while Souqify LLC is directly responsible for all inventory within its showrooms or warehouses. The Partner is duty-bound to provide all the product description relevant to each product in its catalogue before they are listed on www.souqify.com, this should include but not be limited to, a detailed title and sub-title, price, quantity, picture and detailed product description. The Partner must not mislead a potential customer by misrepresenting their product/s. The Partner must notify Souqify LLC of any changes to the detail of their listings after its shared with Souqify LLC. The Partner agrees to adhere to their range of products and prices as provided to Souqify LLC and as described on their listing on the website. The Partner must not display products that are subject to copyright infringement. The Partner further guarantees to take great care to keep up-to-date their range of products, stock availability and prices. The Partner guarantees that information listed on Souqif.com relating to his products satisfies all legal requirements, and in particular satisfies information requirements for consumer protection.

6. BINDING PERIOD - This agreement is binding as soon as the Partner fulfils an act referred by Souqify LLC, and remains binding indefinitely, until termination by either party. This Agreement ceases to be binding when one party gives a one-month notice of termination. Souqify LLC has the right to immediately terminate this Agreement. The right to immediate termination covers the case where the Partner repeatedly receives negative ratings and reviews on the website, and when these are not justifiable. Repeatedly providing misleading information or withholding information required to present the Partner's items is also grounds for immediate termination. Typos, mistakes and transmission errors are excluded from this, as long as they are not caused with intent or by gross negligence

7. LIABILITY – Souqify LLC shall not be liable for any negligence, defect in the product, or misleading product description made by the Partner. The Partner shall indemnify Souqify LLC. from all claims arising in relation to matters outside Souqify LLCs control, including but not limited to the quality of goods and services provided by the Partner. The Partner further indemnifies Souqify LLC. from third parties' claims resulting from any violation of laws and regulations by the Partner. VAT liability rests with the Partner alone; Souqify LLC. shall not be responsible for any VAT issues. Souqify’s platform can be down technically, however, there shall be reasonable care and skill to resolve any such case, thereby exempting Souqify from any further claims or damages

8. PRIVACY
a. Both parties shall keep confidential all information that they may be in possession of as a result of this partnership.
b. Both parties shall not disclose confidential information to any third party.
c. Both parties are obliged to treat confidentially the content of this agreement, as well as all other information and data they acquire in connection with the partnership, and not use it for purposes outside the scope of this contract or pass it on to third parties.

9. PAYMENT
a. Souqify LLC shall receive payment on behalf of the Partner and remit it to the Partner accordingly.
b. If a fraudulent payment has been credited to the Partner, Souqify LLC has the right to correct the amount the Partner is invoiced to offset this payment.
c. The Partner will keep receipts of deliveries to customers for at least 6 months and make those available on request.
d. In case of problems that may cause the order to be rescinded, or in case of a delivery failure, the Partner must immediately notify Souqify LLC by phone and email so that the credit card payment may be cancelled.

10. LICENSE
a. The Partner grants Souqify LLC. a royalty-free, perpetual, unrestricted license to use and distribute any materials provided by him, for the purpose of advertising.
b. Souqify LLC may scan, transcribe, and publish online the Partner's listings, logos and other materials required for advertising.
c. Souqify has the right to freely maintain the Partner's listing and its ranking on the website.

11. COMMISSION
a. The Partner agrees to pay Souqify a fixed percentage commission on the gross revenue from their sales made through the Souqify LLC platform or other channels, this is pre-agreed by item categories with each Partner.
b. Souqify LLC has the right to adjust the percentage commission, providing suitable notice is served in advance to the Partner.
c. Souqify LLC has a right to fix different percentage commissions for different categories of products as per market demands, this however does not change the agreed amount to be remitted to the Partner.

12. GENERAL
a. Souqify LLC reserves the right to modify his general terms and conditions without giving any justification. In that case, Souqify LLC will give the Partner adequate notice via email.
